1. Acceptance of Terms

By accessing or using the CamelStone platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and CamelStone LLC.

2. Description of Services

CamelStone operates a platform that connects pre-IPO technology companies with accredited and institutional investors. We facilitate the sourcing, presentation, and structuring of investment opportunities through professionally managed Special Purpose Vehicles (SPVs) administered by trusted third-party partners. CamelStone does not provide investment advice, and our services should not be construed as such.

3. Eligibility and Investor Accreditation

To participate in investment opportunities on our Platform, you must be an accredited investor as defined by applicable securities regulations in your jurisdiction. You represent and warrant that any information provided regarding your investor status is accurate and complete. CamelStone reserves the right to verify your accreditation status and to deny access to investment opportunities if verification cannot be completed.

4. Investment Risks

Investments in pre-IPO companies carry significant risks, including but not limited to:

Complete loss of invested capital
Illiquidity and lack of a secondary market
Dilution from future financing rounds
Uncertainty regarding IPO timing or occurrence
Limited information compared to public companies
Regulatory changes that may affect returns

Past performance of any investment does not guarantee future results. You should consult with qualified financial, legal, and tax advisors before making any investment decisions.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. CamelStone is not liable for any loss arising from unauthorized use of your account.

6. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, investment memos, financial analyses, and software, are owned by CamelStone or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

7. Confidentiality

Investment materials, deal terms, company information, and other non-public information shared through the Platform are strictly confidential. You agree not to disclose such information to any third party without prior written consent from CamelStone and the relevant company.

8. Limitation of Liability

To the maximum extent permitted by law, CamelStone shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform or any investment made through our services. Our total liability shall not exceed the fees paid by you to CamelStone in the twelve months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising under these Terms shall be resolved through binding arbitration in Riyadh, Saudi Arabia, unless otherwise required by applicable law.
